Clear pricing, clear ownership, clear duties.

One rate, one meter, one monthly invoice. UtCS funds, owns and operates the system; Sugar Beach provides the site and pays for the energy delivered — while keeping its CEB account.

Who does what

The division of responsibilities between UtCS and Sugar Beach across funding, operation, security and payment.

Ownership & the option to buy

UtCS retains ownership of the system through the term. At specified end points, Sugar Beach may purchase it at independently determined fair market value within a 30-day window — an option, not a free or fixed-price transfer.

Liability is capped by reference to the preceding twelve months of service invoices, with indirect and consequential loss excluded. Protection is real but not unlimited.

Security: a bank guarantee

Schedule 3 requires a first-class Mauritian bank guarantee covering roughly three months of projected output cost — the customer's security obligation, to be confirmed on execution.

CEB obligations stay with Sugar Beach

CEB fixed charges, demand charges and any energy not supplied by the UtCS system remain billed by CEB. This agreement covers the UtCS system energy only.
